These Terms of Service ("Terms") govern access to and use of the Talent Junction platform (the "Service") operated by Talent Junction, Inc., a Delaware corporation with its principal office at 169 Madison Ave, New York, NY 10016. By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By registering, accessing, or using the Service, you confirm that you have read, understood, and accepted these Terms in their entirety.
2. Description of Service
Talent Junction operates an online marketplace connecting Companies posting consulting missions with Agencies proposing consultants. Talent Junction is not a party to any consulting contract between users and does not intervene in the contractual relationship.
3. Account Registration & Eligibility
You must be at least 18 years old and legally authorized to enter into contracts on behalf of the entity you represent. Company accounts are free. Agency accounts require manual review by our team and an active paid subscription to access full features.
4. Subscription & Billing
Agency access is subject to a subscription plan billed in EUR regardless of the customer's country: EUR 159 / month or EUR 990 / year, each including up to 3 user seats. Payments are processed by Stripe, Inc. Subscriptions renew automatically until cancelled.
5. User Obligations & Prohibited Uses
You agree to provide accurate information, respect the confidentiality of information exchanged, and not use the Service for any unlawful purpose, harassment, spamming, or infringement of third-party rights.
6. Content Ownership & License
You retain ownership of consultant profiles, missions, messages, ratings, and other content you submit. You grant Talent Junction a worldwide, non-exclusive, royalty-free license to host, display, and transmit that content strictly as necessary to operate the Service.
7. Confidentiality
Information shared through internal messaging or exchanged between counterparties in the context of a mission is confidential. Each party agrees not to disclose it to unauthorized third parties.
8. Payments, Refunds & Cancellation
You may cancel your subscription at any time via the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. Payments already made are non-refundable except where required by applicable law.
9. Data Protection & Privacy
Personal data is processed in accordance with our Privacy Policy. Talent Junction acts as data controller. We honor rights under the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA) where applicable, including access, correction, deletion, and portability. 10. Intellectual Property
The Service, its branding, and its software remain the exclusive property of Talent Junction, Inc. Nothing in these Terms grants you any right to use our trademarks or copyrighted materials outside of normal Service use.
11. Termination
We may suspend or terminate your account at any time for material breach of these Terms, misuse of the Service, or failure to pay applicable fees. You may terminate your account at any time by contacting us at contact@talentjunction.io.
12. Limitation of Liability
To the fullest extent permitted by law, Talent Junction shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of or related to these Terms shall not exceed the amounts paid by you to Talent Junction in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Talent Junction, its officers, employees, and agents from any claim arising out of your use of the Service or your breach of these Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
15. Changes to Terms
We may revise these Terms from time to time. Material changes will be notified through the Service or by email at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
